Inferel Terms of Service
Welcome to Inferel.
These Terms of Service ("Terms") are a binding legal agreement between Inferel ("Company," "we," "us," or "our") and the individual, company, or legal entity ("User," "you," or "your") accessing, registering for, or using the Inferel platform, website (including but not limited to inferel.ai and its subdomains), application programming interfaces (APIs), software development kits (SDKs), model fine-tuning services, dedicated server hosting, online checkout and payment features, and related digital services (collectively, the "Services").
By accessing or using our Services, or by clicking "I Agree" (or a similar confirmation checkbox or button), you acknowledge that you have read, understood, and agree to be bound by these Terms, and that you have read and understood our Privacy Notice, as described in Section 2. If you are entering into these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you have the legal authority to bind that entity, in which case "you" will refer to that entity. If you do not agree to these Terms, you must not access or use the Services.
THESE TERMS CONTAIN IMPORTANT PROVISIONS, INCLUDING A LIMITATION OF LIABILITY IN SECTION 14, A RELEASE IN SECTION 15, AND A MANDATORY INDIVIDUAL ARBITRATION AGREEMENT AND CLASS ACTION / JURY TRIAL WAIVER IN SECTION 18. PLEASE READ THEM CAREFULLY.
1. Account Management, Authentication, and Eligibility
1.1 Eligibility
You must be at least 18 years of age (or the minimum age of legal majority in your jurisdiction) and possess the full legal capacity to enter into a binding contract to use the Services. Any access to or use of the Services by a minor in any applicable jurisdiction is strictly prohibited unless such access and use is supervised by a parent or legal guardian who has read, understood, and agreed to these Terms on the minor's behalf and who is fully responsible for the minor's activity on the Services. If you have been previously suspended or removed from the Services by Inferel, you are ineligible to create an account or use the Services.
1.2 User Accounts and Organizational Accounts
Account Creation. To access specific features of the Services, including API key generation, model fine-tuning, and dedicated deployments, you must register for an Inferel account. You agree to provide accurate, complete, and current information and to keep it updated. You acknowledge that you do not own your account and that we may maintain different types of accounts for different types of Users.
Account Security. You are solely responsible for maintaining the confidentiality of your account credentials, including passwords, API keys, and access tokens, and for all activity occurring under your credentials, which will be deemed authorized by you. You will not share your credentials with anyone else, you will notify us immediately of any breach of security or unauthorized use of your account, and we will not be liable for any loss arising from unauthorized use of your account.
Organizational Accounts. An individual may access or use the Services on behalf of a company or other entity (an "Organization"), such as that individual's employer. In such cases: (i) these Terms bind both that individual and the Organization; (ii) the individual represents and warrants that they have authority to bind the Organization, and the individual's acceptance binds the Organization; (iii) we may disclose information about the individual's access to and use of the Services to the Organization; (iv) the individual's access may be suspended or transferred if the individual ceases to be associated with the Organization or to use an email address provisioned by it; and (v) the Organization is solely responsible and liable for all acts and omissions of its users who access the Services. If an individual opens an account using an email address provisioned by an Organization, or if an Organization pays the fees for that individual's use, we may deem that individual to be acting on behalf of the Organization.
Connecting via Third-Party Services. By connecting to the Services via a third-party service, you give us permission to access and use your information from that service, as permitted by that service, and to store your log-in credentials or access tokens for that service.
Notifications; Emails. By providing us with your email address, you consent to our using it to send you Service-related notices, including any notices required by applicable law, in lieu of communication by postal mail.
1.3 Service Modification, Suspension, and Termination
Termination by You. You may terminate or deactivate your account at any time using the account deletion or deactivation features within the platform console.
Right to Modify or Suspend. Inferel reserves the right to modify, suspend, restrict, or discontinue the Services (or any feature, model availability, or API endpoint thereof) at any time, with or without notice, without liability to you.
Termination for Cause. We may suspend or terminate your access to the Services immediately, without prior notice, if you breach these Terms, violate applicable laws, or if your usage poses a security, operational, or legal risk to Inferel, our infrastructure, or other users. Upon termination for any reason, you continue to be bound by these Terms.
1.4 Your Interactions with Other Users
YOU ARE SOLELY RESPONSIBLE FOR YOUR INTERACTIONS, INCLUDING ANY SHARING OF INFORMATION OR ASSETS, WITH OTHER USERS. WE RESERVE THE RIGHT, BUT HAVE NO OBLIGATION, TO MONITOR DISPUTES BETWEEN YOU AND OTHER USERS. WE EXPRESSLY DISCLAIM ALL LIABILITY ARISING FROM YOUR INTERACTIONS WITH OTHER USERS AND FOR ANY USER'S ACTION OR INACTION, INCLUDING IN RELATION TO USER CONTENT OR SHARED ASSETS.
2. Privacy and Data Security
2.1 Privacy
We care about your privacy. By registering for and using the Services, you acknowledge that we collect, use, process, and disclose account-related, technical, and personal information (including identity and authentication data, session and telemetry data, and operational logging concerning your API activity) as set forth in our Privacy Notice. The categories of data we collect, the purposes for which we use them, and the periods for which we retain them are described in our Privacy Notice, which is incorporated into these Terms by reference. Your personal information may be transferred to, stored in, or processed in the United States.
2.2 Security
We care about the integrity and security of your data and maintain measures designed to protect it. However, no method of transmission or storage is completely secure, and we cannot guarantee that unauthorized third parties will never be able to defeat our security measures or use your data for improper purposes. You acknowledge that you provide your data at your own risk.
3. License and Acceptable Use Restrictions
3.1 Grant of License
Subject to your strict compliance with these Terms and the payment of all applicable fees, Inferel grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services solely for your personal use or internal business operations or application development, strictly as permitted by the features of the Services. We reserve all rights not expressly granted to you under these Terms.
3.2 Acceptable Use Restrictions
Except to the extent a restriction is prohibited by applicable law, you expressly agree that you will not, and will not permit, assist, or authorize any third party to:
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying algorithms, or weights of any proprietary models hosted within the Services (unless a model is explicitly governed by an open-source license that permits such actions and you comply with that license);
- Use any content, data, metadata, materials, or outputs available on or through the Services for any machine learning or artificial intelligence training, model development, or fine-tuning purposes outside of the Services, or for any technology designed or intended to identify natural persons;
- Use the Services, or any outputs generated by the Services, to develop, train, fine-tune, or improve any machine learning models or artificial intelligence services that compete with Inferel, or to perform benchmarking or competitive analysis of the Services, or otherwise to our detriment or disadvantage;
- Use any robot, spider, scraper, data mining tool, or other automated means to access the Services in a manner that sends more requests to our servers than a human can reasonably produce using a conventional web browser, or to copy, scrape, or harvest content or personal information from the Services;
- Bypass, disable, or circumvent any security mechanisms, rate limits, or authentication layers established by Inferel, or attempt to interfere with, compromise the integrity or security of, or decipher any transmissions to or from our servers;
- Engage in high-frequency or abusive API calls that exceed standard commercial usage, impose an unreasonable or disproportionately large load on our infrastructure, or constitute a Denial of Service (DoS/DDoS) attack;
- Buy, sell, or transfer API keys without our prior written consent, or impersonate any person or entity or misrepresent your affiliation with a person or entity; or
- Use the Services to generate, transmit, or distribute content that is illegal, fraudulent, defamatory, that infringes upon third-party intellectual property or privacy rights, that propagates malware, or that promotes hate speech, violence, or harm to minors.
4. User Content, Data Ownership, and Open Community Sharing
4.1 Definitions
- User Content (Inputs): means all data, prompts, text, code, images, fine-tuning datasets, or base models uploaded, submitted, or transmitted to the Services by you or your end-users.
- Outputs: means the results, text, code, model weights, or predictions generated by the Services' artificial intelligence models based on your User Content.
4.2 Ownership and Privacy Controls
As between you and Inferel, you retain all rights, title, and interest in your User Content and, subject to your full payment of all applicable service fees, the proprietary Outputs generated for you. By default, your workspace, datasets, and fine-tuning configurations are set to private. Inferel will not disclose your private User Content or use it to train our public base models.
4.3 Inferel Open Community and Shared Model Repository
The Services feature a public community hub and shared model repository (the "Inferel Community") allowing Users to share, publish, and collaborate on fine-tuned models, weights, prompts, and datasets. By default, sharing is off and must be explicitly turned on. If you choose to set your content to "Public" or otherwise share it within the Inferel Community, the following terms apply:
- Grant of License to the Community. By publishing or sharing any fine-tuned models, custom weights, datasets, or code (collectively, "Shared Assets") in the Inferel Community, you grant Inferel and each User of the Services a worldwide, royalty-free, non-exclusive, perpetual, and irrevocable license to access, download, run inference on, replicate, modify, and create derivative works of your Shared Assets for any purpose.
- Open Source Compliance. You represent and warrant that your Shared Assets comply with all applicable upstream licenses. If a Shared Asset is a fine-tuned derivative of a third-party open-source base model (for example, Meta Llama or Mistral), your publication and the license you grant must strictly adhere to that model's original community license or acceptable use policy.
- Content Monitoring and Take-Down. Inferel does not pre-screen or actively monitor all Shared Assets. We reserve the right, in our sole discretion, to remove, disable access to, or delete any Shared Asset at any time and without prior notice, including upon receipt of a copyright infringement notice or if the asset violates our Acceptable Use Restrictions or poses a security risk.
4.4 User Content Representations and Warranties
In connection with any User Content (Inputs) you submit, upload, or transmit to the Services, you affirm, represent, and warrant that:
- (a) you have obtained the written consent of each identifiable natural person whose name, voice, likeness, or image appears in your User Content to use such person's name, voice, and likeness in the manner contemplated by the Services and these Terms, and each such person has released you from any liability that may arise from such use;
- (b) you have obtained, and are solely responsible for obtaining, all consents, permissions, and rights required under applicable law to provide any User Content relating to third parties;
- (c) your User Content, the Outputs generated from it, and Inferel's use of each as contemplated by these Terms will not violate any applicable law or infringe or misappropriate any rights of any third party, including any intellectual property rights or privacy rights;
- (d) your User Content does not contain any information or material that a governmental body deems sensitive or classified, and your provision of User Content does not violate any confidentiality or contractual obligation owed to any third party;
- (e) Inferel may exercise the rights to your User Content granted under these Terms without any obligation to pay any guild fees, residuals, royalties, or other payments under any collective bargaining agreement or otherwise;
- (f) you will not upload or otherwise make available through the Services any personal information of children under the age of 13 (or the applicable age of digital consent in your jurisdiction);
- (g) your User Content does not contain: nudity or sexually explicit or suggestive content; hate speech, threats, or attacks directed at any individual or group; content that is abusive, harassing, defamatory, obscene, libelous, or invasive of another's privacy; discriminatory content; content depicting self-harm or excessive violence; impersonation or fake identities; illegal content or content that furthers illegal activity; malware or malicious code; any person's personal information provided without their consent; or spam or unsolicited messages; and
- (h) to the best of your knowledge, all User Content and other information that you provide to us is truthful and accurate.
4.5 Disclaimer. WE TAKE NO RESPONSIBILITY AND ASSUME NO LIABILITY FOR ANY USER CONTENT. YOU WILL BE SOLELY RESPONSIBLE FOR YOUR USER CONTENT AND THE CONSEQUENCES OF SUBMITTING, POSTING, DISPLAYING, PROVIDING, SHARING, OR OTHERWISE MAKING IT AVAILABLE ON OR THROUGH THE SERVICE, AND YOU UNDERSTAND AND ACKNOWLEDGE THAT WE ARE ACTING ONLY AS A PASSIVE CONDUIT FOR YOUR ONLINE DISTRIBUTION AND PUBLICATION OF YOUR USER CONTENT.
5. Model Fine-Tuning and Infrastructure Deployments
5.1 Fine-Tuning Services and Weight Allocation
When you utilize Inferel's fine-tuning infrastructure, you warrant that you possess all necessary rights and permissions for the fine-tuning datasets you upload.
- Private Fine-Tuning. If kept private, the resulting Custom Model Weights are your exclusive intellectual property and will be securely encrypted and isolated within your dedicated workspace.
- Public Fine-Tuning. If you opt to contribute your fine-tuning results to the Inferel Community, the weights will become publicly downloadable and usable under the community sharing terms in Section 4.3.
5.2 Dedicated Deployments (Dedicated Instances)
If you opt to deploy a private model or a community-shared model on Inferel's dedicated compute infrastructure, billing will be calculated based on the capacity reserved (for example, the number and type of GPU instances) and the duration of deployment. Inferel will maintain infrastructure availability in accordance with any separately executed Service Level Agreement (SLA).
6. Third-Party Models and Built-In Safety Disclaimer
The Services may integrate or allow you to invoke open-source or commercial models created by third parties (for example, Meta Llama or Mistral AI). You acknowledge and agree that:
- Such third-party models are subject to their respective original licenses and acceptable use policies.
- Built-in Safety Features. Many third-party models have native safety guardrails, content filters, or behavioral constraints hardcoded during their pre-training phase. Inferel's API acts as a transparent routing layer and does not overlay additional custom censorship filters onto these base responses. Inferel assumes no responsibility or liability for output variations or limitations caused by the underlying model's hardcoded design.
7. Intellectual Property
7.1 Intellectual Property Rights Definition
For the purposes of these Terms, "Intellectual Property Rights" means all patent rights, copyright rights, mask work rights, moral rights, rights of personality, trademark, trade dress and service mark rights, goodwill, trade secret rights, and any and all other intellectual property and proprietary rights as may now exist or hereafter come into existence, and all applications, registrations, renewals, and extensions thereof, under applicable law.
7.2 Inferel Intellectual Property
Except for your User Content, all right, title, and interest in and to the Services, including system architecture, user interfaces, software, algorithms, code, documentation, patents, copyrights, trademarks, logos, and trade secrets, are and will remain the exclusive property of Inferel and its licensors. Except as expressly provided herein, nothing in these Terms creates a license in or under any such Intellectual Property Rights, and use of any Inferel Intellectual Property for any purpose not expressly permitted is strictly prohibited.
7.3 Usage Data
We may collect, or you may provide to us, diagnostic, technical, usage, and related information, including information about your computers, devices, systems, software, and API activity (collectively, "Usage Data"). All Usage Data is and will be owned solely and exclusively by Inferel, and to the extent any ownership rights in the Usage Data vest in you, you hereby assign them to us. We may use, maintain, and process Usage Data for any lawful purpose, including to provide and maintain the Services, to improve and develop our products and services, to monitor usage, for research and analytics, and to share analytics and derived Usage Data with third parties solely in de-identified or aggregated form.
7.4 Feedback
If you provide us any suggestions, enhancement requests, comments, or other feedback regarding the Services ("Feedback"), you hereby assign to Inferel all rights, title, and interest in such Feedback. Inferel is free to use, implement, and commercialize the Feedback in any manner without restriction, attribution, compensation, or obligation to you. Feedback is deemed Inferel's Confidential Information.
8. Confidential Information
The Services may include non-public, proprietary, or confidential information of Inferel or of other Users ("Confidential Information"). Confidential Information includes any information that should reasonably be understood to be confidential given its nature and the circumstances of disclosure, including non-public business, product, technology, and marketing information. You will: (a) protect the confidentiality of all Confidential Information with at least the same degree of care you use to protect your own highly sensitive confidential information, but in no event less than a reasonable degree of care; (b) not use any Confidential Information for any purpose other than to exercise your rights or perform your obligations under these Terms; and (c) not disclose any Confidential Information to any person except your service providers or financial or legal advisors who need to know it and who are bound by non-use and non-disclosure obligations at least as restrictive as those set forth in this Section.
9. DMCA Notice and Repeat Infringer Policy
We respect the rights of content owners, and it is our policy to respond to alleged infringement notices that comply with the Digital Millennium Copyright Act of 1998 (as amended, the "DMCA"). If you believe that your copyrighted work has been copied in a way that constitutes copyright infringement and is accessible via the Services, please notify our copyright agent and provide all of the following in writing:
- (a) an electronic or physical signature of a person authorized to act on behalf of the copyright owner;
- (b) identification of the copyrighted work that you claim has been infringed;
- (c) identification of the material that is claimed to be infringing and its location on the Services;
- (d) information reasonably sufficient to permit us to contact you, such as your address, telephone number, and email address;
- (e) a statement that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; and
- (f) a statement, made under penalty of perjury, that the above information is accurate and that you are the copyright owner or are authorized to act on the owner's behalf.

Under United States federal law, if you knowingly misrepresent that online material is infringing, you may be subject to criminal prosecution for perjury and to civil penalties, including monetary damages, court costs, and attorneys' fees. The foregoing procedure is intended to comply with our rights and obligations under the DMCA but does not constitute legal advice. In accordance with the DMCA and other applicable law, we have adopted a policy of terminating, in appropriate circumstances, Users who are deemed to be repeat infringers, and we may limit access to the Services or terminate the accounts of Users who infringe the intellectual property rights of others.
10. Our Publicity Rights
We may identify you as a User of the Services in our promotional and marketing materials. We will promptly stop doing so upon receipt of your request sent to support@inferel.ai.
11. Fees, Billing, Subscriptions, and No-Refund Policy
11.1 Billing Policies; Taxes; No-Refund
Certain aspects of the Services may be provided for free, while others are provided for a fee or other charge (each, a "Fee"). Fees are calculated based on your actual consumption or resource reservation, which may include API call volume, token counts (input/output), compute hours consumed for model fine-tuning, dedicated hardware lease duration, or recurring Subscription Fees, as specified on our pricing page or an executed Order Form. All Fees are denominated and payable in U.S. Dollars (USD) unless stated otherwise.
EXCEPT AS EXPLICITLY PROVIDED IN THESE TERMS OR REQUIRED BY MANDATORY LAW, ALL FEES ARE PAID IN ADVANCE, PAYMENT OBLIGATIONS ARE NON-CANCELABLE ONCE INCURRED, AND ALL PAYMENTS ARE FINAL AND COMPLETELY NON-REFUNDABLE. THIS APPLIES REGARDLESS OF YOUR USAGE VOLUME, ACCOUNT SUSPENSION, PROJECT CANCELLATION, OR EARLY TERMINATION.
Fees are exclusive of all applicable taxes, including sales, use, value-added (VAT), excise, or withholding taxes. You are responsible for paying all taxes associated with your use of the Services, excluding taxes based on Inferel's net income.
11.2 Definitions
- "Subscription" means a portion of the Services that is available on an automatically renewing subscription basis, and your access thereto.
- "Subscription Fee" means the recurring amount due as consideration for a Subscription.
- "Inferel Fee" means the portion of a Fee that Inferel retains as consideration for providing the Services.
- "Third-Party Fees" means the portion of a Fee retained by one or more third parties, including a Payment Processor.
- "Payment Processor" means a third-party payment processor we engage to process payments made in connection with the Services, currently Stripe, Square, and PayPal.
11.3 Your Payment Method
To use non-free aspects of the Services, including paying directly on our website, you must provide at least one current, valid payment method accepted by us and our Payment Processors (a "Payment Method"). By providing a Payment Method, you authorize Inferel and the applicable Payment Processor to charge that Payment Method the applicable Fees and taxes, including, where applicable, on a recurring basis until you cancel. You represent and warrant that your payment information is true, accurate, and complete and that you are authorized to use the Payment Method.
To the extent a Payment Processor processes payments made by you, you will be subject to the terms, conditions, and privacy notice governing that Payment Processor's service. Certain Payment Processors (such as PayPal) may require you to maintain a separate account with, and to agree to separate terms of, that processor in order to complete a transaction. You acknowledge that Payment Processors may collect and retain Third-Party Fees whenever you pay Fees. We do not view or store your full credit card or other Payment Method information.
WE DISCLAIM ALL LIABILITY FOR, AND ARE NOT RESPONSIBLE FOR: (I) ANY SECURITY OR PRIVACY BREACH RELATED TO YOUR PAYMENT METHOD; (II) ANY FEES CHARGED TO YOU BY YOUR BANK IN CONNECTION WITH THE COLLECTION OF FEES; AND (III) ANY UNAUTHORIZED USE OF YOUR PAYMENT METHOD BY A THIRD PARTY.
11.4 Subscription Plans
YOUR SUBSCRIPTION WILL AUTOMATICALLY RENEW AT THE END OF EACH SUBSCRIPTION TERM FOR SUBSEQUENT TERMS EQUAL IN LENGTH UNLESS AND UNTIL YOU CANCEL IN ACCORDANCE WITH THE CANCELLATION PROCEDURES BELOW. YOU AUTHORIZE INFEREL AND THE APPLICABLE PAYMENT PROCESSOR TO CHARGE THE THEN-CURRENT SUBSCRIPTION FEE AND ANY APPLICABLE TAXES AT THE BEGINNING OF EACH RENEWAL TERM.
Cancellation Procedures. To cancel a Subscription, you must notify us at least three (3) days before the start of the next Subscription Term using the appropriate functionalities of the Services or by contacting us at support@inferel.ai. You will continue to have access to the Subscription through the end of the then-current Subscription Term.
UNLESS REQUIRED BY APPLICABLE LAW, YOU WILL NOT BE ENTITLED TO ANY REFUND OR CREDIT FOR ANY CANCELLATION, SUSPENSION, OR TERMINATION, NOR FOR ANY UNUSED TIME, PRE-PAYMENTS, OR USAGE OR SUBSCRIPTION FEES. ANY REFUNDS OR CREDITS ARE GRANTED AT OUR SOLE OPTION AND DISCRETION.
11.5 Promotional Offers
We may from time to time offer special promotional offers, plans, or memberships ("Promotional Offers"). Promotional Offer eligibility is determined by us in our sole discretion, and we reserve the right to revoke a Promotional Offer if we determine you are not eligible. The eligibility requirements and other limitations will be disclosed when you sign up for the Promotional Offer. Promotional Offers are subject to change at any time.
11.6 Overdue Accounts
If your registered Payment Method fails, or if an invoice remains unpaid past its due date, Inferel reserves the right to immediately suspend your API access, halt fine-tuning processes, or spin down dedicated deployments without liability.
12. Content Disclaimer and Validation
12.1 Nature of AI Outputs
You acknowledge that the Services utilize generative artificial intelligence and large language models. Outputs may occasionally be inaccurate, incomplete, biased, or erroneous (commonly referred to as "hallucinations"), and Outputs may not be unique across Users. You must independently review, test, and verify the accuracy and appropriateness of any Outputs before relying on or deploying them, including by using human review. Inferel is not liable for any actions, decisions, or damages arising from your reliance on the Outputs.
12.2 End-User Responsibility
You are solely responsible for ensuring that your application's implementation of the Services complies with all laws. If you build applications for downstream end-users, you are responsible for handling end-user disputes regarding AI-generated content. You will not represent that any Output was human-generated, and you will comply with each underlying model provider's license and usage restrictions.
13. Disclaimer of Warranties
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INFEREL EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, SATISFACTORY QUALITY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, OR FREE OF MALWARE, OR THAT ANY CONTENT OR DATA WILL BE SECURE OR NOT LOST OR DAMAGED.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
EXCLUSION OF CONSEQUENTIAL DAMAGES. IN NO EVENT SHALL INFEREL, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH THE SERVICES, REGARDLESS OF THE LEGAL THEORY AND EVEN IF INFEREL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
CAP ON LIABILITY. THE TOTAL CUMULATIVE LIABILITY OF INFEREL ARISING OUT OF OR RELATED TO THESE TERMS OR THE USE OF THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT ACTUALLY PAID BY YOU TO INFEREL FOR THE SERVICES IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY.
15. Release
You hereby release Inferel and its affiliates, officers, directors, employees, and agents from all claims, damages (whether direct, indirect, incidental, consequential, or otherwise), obligations, losses, liabilities, costs, and expenses of every kind and nature, known and unknown, arising out of or in connection with any dispute between you and a third party (including any other User) in connection with the Services. If you are a California resident, you waive California Civil Code Section 1542, which states:
"A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS THAT THE CREDITOR OR RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE AND THAT, IF KNOWN BY HIM OR HER, WOULD HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR OR RELEASED PARTY."
16. Indemnification
You agree to defend, indemnify, and hold harmless Inferel, its affiliates, officers, directors, and employees from and against any third-party claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
- Your breach of these Terms or violation of applicable laws;
- Infringement of third-party intellectual property or privacy rights caused by your User Content (Inputs);
- Your deployment, commercialization, or downstream use of the Outputs; or
- Any access to or use of the Services using your credentials.
17. Amendments to Terms
Inferel reserves the right, at its sole discretion, to modify or update these Terms at any time. When material changes are made, we will provide notice via platform console announcements, email notifications, or a prompt upon logging into the Services, and we will update the "Last Updated" date above. Modified Terms become effective immediately upon posting or on the date specified in the notice. Your continued use of the Services after the modifications take effect constitutes your binding acceptance of the updated Terms. If you do not agree to the modified Terms, you must cease using the Services.
18. Dispute Resolution and Governing Law
18.1 Governing Law
These Terms, and any dispute arising out of or related to them, are governed by and construed in accordance with the laws of the State of Delaware, United States, without giving effect to any conflict of laws principles. The parties acknowledge that these Terms evidence a transaction involving interstate commerce, and the Federal Arbitration Act (9 U.S.C. §§ 1-16) governs the interpretation and enforcement of the arbitration provisions below. You agree to submit to the exclusive personal jurisdiction of the federal and state courts located in Delaware for any action for which we retain the right to seek injunctive or other equitable relief, and for any proceeding not subject to arbitration.
18.2 Your Right to Opt Out of Arbitration
If you are a new User, you may reject and opt out of the arbitration agreement, the class action waiver, and the jury trial waiver set forth in this Section 18 within thirty (30) days of the date you first accept these Terms. To opt out, you must send us written notice at support@inferel.ai stating your full legal name and your intent to opt out of arbitration. Opting out is the only way to preserve your right to litigate Disputes in court and to participate in a class or representative proceeding. Opting out of arbitration does not affect the binding nature of any other part of these Terms, including the provisions on governing law and the courts in which any disputes must be brought, and will not affect your continued access to or use of the Services.
18.3 Informal Dispute Resolution; Mandatory Individual Arbitration
For any dispute, claim, or controversy arising out of or relating to these Terms or the use of the Services (collectively, "Disputes"), you will first contact us at support@inferel.ai and attempt to resolve the Dispute informally. If we have not resolved the Dispute within sixty (60) days, you and Inferel agree to resolve it exclusively through binding individual arbitration, rather than in a court of law, except as provided below.
- The arbitration will be administered by JAMS before a single arbitrator under the JAMS Optional Expedited Arbitration Procedures (or the applicable JAMS rules) then in effect. In the event of any conflict between the JAMS rules and these Terms, these Terms will control.
- The arbitration will be conducted in the U.S. county where you live, or in Sussex County, Delaware, unless you and Inferel agree otherwise. The arbitrator has exclusive authority to resolve all threshold and arbitrability issues, and the arbitrator's award is final and binding and may be entered in any court of competent jurisdiction.
- Notwithstanding the foregoing, you may bring an individual claim in a small claims court of competent jurisdiction, provided your claim qualifies and remains in that court on an individual basis.
18.4 Class Action and Jury Trial Waiver
YOU AND INFEREL AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, PRIVATE ATTORNEY GENERAL, OR REPRESENTATIVE PROCEEDING. UNLESS WE AGREE OTHERWISE, THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S OR ENTITY'S CLAIMS. YOU ALSO EXPRESSLY WAIVE THE RIGHT TO A TRIAL BY JURY.
18.5 Equitable Relief
Nothing in this Section prevents Inferel from seeking injunctive or other equitable relief from the courts as necessary to prevent the actual or threatened infringement, misappropriation, or violation of our data security, Confidential Information, or Intellectual Property Rights.
18.6 Severability of Arbitration Agreement
If any portion of this Section 18 is found to be void, unenforceable, or unlawful, that portion will be severed, and the remainder will remain in force, except that if the Class Action and Jury Trial Waiver is found unenforceable as to a particular claim, that claim (and only that claim) will be severed and may proceed in a court of competent jurisdiction.
19. U.S. Government Restricted Rights
To the extent the Services are used by or on behalf of the U.S. Government, the Services are deemed commercial computer software or commercial computer software documentation, as applicable. Accordingly, if you are an agency of the U.S. Government or a contractor therefor, you receive only those rights with respect to the Services as are granted to all other Users under these Terms, in accordance with 48 C.F.R. §227.7202 and 48 C.F.R. §12.212, as applicable.
20. Export Controls and Sanctions
You acknowledge that the Services may be subject to export control and economic sanctions laws and regulations. You will comply with all applicable import, export, and re-export control and trade and economic sanctions laws and regulations, including the Export Administration Regulations maintained by the U.S. Department of Commerce, the trade and economic sanctions maintained by the U.S. Treasury Department's Office of Foreign Assets Control ("OFAC"), and the International Traffic in Arms Regulations maintained by the U.S. State Department. You represent and warrant that you, and any person acting on your behalf, are not (a) listed on any list of sanctioned, prohibited, or restricted parties administered by OFAC or any other governmental entity, or (b) located in, a national or resident of, or a part of the government of, any country or territory subject to comprehensive U.S. sanctions or embargoes.
21. Miscellaneous
21.1 Assignment
You may not assign or transfer these Terms, or any rights or obligations herein, without Inferel's prior written consent. Inferel may freely assign these Terms or its rights hereunder, including in connection with a merger, acquisition, corporate reorganization, or sale of assets, without your consent. Any attempted assignment in violation of this Section is null and void.
21.2 No Waiver
No waiver of any term of these Terms will be deemed a further or continuing waiver of that term or of any other term, and Inferel's failure to assert any right or provision under these Terms will not constitute a waiver of such right or provision.
21.3 Severability
If any provision of these Terms is found by an arbitrator or court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
21.4 Entire Agreement
These Terms, together with the Privacy Notice and any executed Order Forms, constitute the entire agreement between you and Inferel regarding the Services, superseding all prior or contemporaneous oral or written communications, understandings, or agreements.
21.5 California Residents
If you are a California resident, in accordance with Cal. Civ. Code §1789.3, you may report complaints to the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs by contacting it in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210 or (916) 445-1254.
21.6 Notification Procedures
We may provide notifications to you via email, written or hard-copy notice, or posting on the Services, as we determine in our sole discretion. You may opt out of certain means of notification as required under applicable law or as described in these Terms. We are not responsible for any automatic filtering you or your network provider may apply to email notifications we send.
21.7 Your Use of Third-Party Services
The service may contain links to third-party sites, materials, and/or services (collectively, "Third-Party Services") that are not owned or controlled by us, and certain functionalities of the service may require your use of third-party services. If you use a third-party service in connection with the service, you are subject to and agree to, and must comply with, the third party's terms and conditions made available via, or agreed in connection with, its services. We do not endorse or assume any responsibility for any third-party services. If you access a third-party service from the service or share your user content on or through any third-party service, you do so at your own risk, and you understand that these terms and our privacy notice do not apply to your use of any third-party service. You expressly relieve us from any and all liability arising from your access to and/or use of any third-party service.
